1. Purpose and scope
This Risk Disclosure Statement explains important risks associated with the deliverable spot foreign-exchange (FX) conversion and remittance services offered by Briana Global Limited (Briana Global, we, us or our). Please read it before giving us a payment instruction. It is not an exhaustive description of every risk that may arise from a payment, currency conversion, recipient relationship or destination country.
Briana Global Limited is a New Zealand company, company number 9362687 and NZBN 9429053039798. Its registered office is 3 Garland Drive, Saint Andrews, Hamilton 3200, New Zealand.
This Statement applies to Briana Global’s deliverable spot FX and remittance services only. Briana Global is not a broker and does not provide CFDs, derivatives, securities, leveraged or margin trading, investment products, investment advice, lending or credit, deposit accounts, or cryptocurrency services.
Nothing in this Statement or in our terms is intended to limit a right or remedy that cannot lawfully be excluded or limited. This includes rights and remedies under the Fair Trading Act 1986 and, where it applies, the Consumer Guarantees Act 1993. Briana Global remains responsible for its own conduct to the extent required by law and under any applicable agreement with you.
2. FSPR registration and complaints membership
Briana Global is registered on the New Zealand Financial Service Providers Register under FSP1010808. As verified on 9 September 2026, its FSPR record lists the following registered financial services:
Changing foreign currency;
Issuing or managing means of payment; and
Operating a money or value transfer service.
FSPR registration is not a licence and is not a government or regulator endorsement of Briana Global, its services, financial position or performance. New Zealand does not have a specific general licence for e-money institutions or payment service providers. Other legal obligations may apply according to a provider’s business model and activities.
Briana Global is a member of Financial Services Complaints Limited (FSCL) – a Financial Ombudsman Service, membership number 9518, effective 13 November 2025. The complaints process is set out in section 12.
3. Exchange rate, quote and cost risk
Exchange rates can move quickly and adversely. An exchange rate shown before you accept a quote and submit an Order may be indicative only and may differ from a rate available when you give your instruction. A quoted rate can expire, be withdrawn or no longer be available if the stated quote conditions are not met, including where funds are not received in the required form or by the applicable time.
Before accepting a quote and submitting an Order, check the exchange rate, the amount you are paying, the amount to be converted or sent, the Briana Global fee or margin (if applicable), the recipient details and any transaction-specific conditions. Quote acceptance and Order submission do not by themselves form a binding transaction. A binding transaction is formed only if Briana Global accepts the Order and issues a Transaction Confirmation under the Terms and Conditions. A rate offered by Briana Global may differ from rates published by banks, central banks, rate-comparison services or other providers. Published market rates may not include provider margins, fees, route restrictions or the conditions that apply to a particular transaction.
The treatment of an expired, cancelled, rejected, returned or recalled transaction can depend on the stage of processing, the applicable transaction terms, exchange-rate movements and the actions of other institutions. Where a conversion or reconversion is necessary, the rate available at that later time may be less favourable. Do not assume that the original rate, amount or delivery outcome can be reproduced.
A payment route may involve a correspondent, intermediary, receiving institution or recipient that imposes a charge or deduction. Where that can occur, the final amount received and the time of receipt can be affected. Briana Global does not control those institutions’ charges or decisions and does not guarantee that information about them will always be available in advance.
4. Funding, cut-offs and delivery timing
A payment may be processed only after the required funds have been received and the transaction can proceed. Banking days, cut-off times, weekends, public holidays, destination-country working hours, currency availability, payment-route requirements and additional information requests can affect when processing begins or continues.
Any delivery time or processing estimate is an estimate, not a promise that funds will reach the recipient by a particular time. Delays can arise from Briana Global’s processing, a correspondent or intermediary, a payment network, a receiving institution, a recipient issue, a public authority, foreign exchange markets, telecommunications or another event affecting the payment route. A delay does not remove Briana Global’s responsibility to perform its own services with the care, skill and timeliness required by law.
Service channels may be unavailable or affected by planned maintenance, unexpected technical failure, cybersecurity events, telecommunications disruption, data or systems issues, or payment-network outages. During a disruption, payment status information may be delayed or incomplete. Do not submit a duplicate instruction merely because confirmation is delayed. Contact us if you are unsure whether an instruction has been received or processed.
5. Payment finality, cancellation and recall
A transfer may pass through several stages, including authorisation, receipt of cleared funding, acceptance for processing, instruction to a correspondent or payment network, receipt by a beneficiary institution and credit to a recipient. The stages that apply, and the point at which an instruction can no longer be changed, depend on the transaction and payment route.
You may be unable to cancel, amend or recall an instruction after the relevant cut-off or once it has been sent to a correspondent, intermediary, receiving institution or recipient. A request to stop, amend, trace or recall a payment is not a guarantee that the payment can be stopped or recovered. It may be subject to the receiving institution’s processes, recipient consent, legal restrictions, timing and charges where applicable.
If you promptly report an error or suspected unauthorised instruction, Briana Global will take reasonable and proportionate steps to seek to stop, trace or recall a payment where intervention is still practicable. Recovery may not be possible, particularly after funds have been credited, withdrawn, moved onward or converted. This does not exclude Briana Global’s responsibility for an error made by Briana Global, unauthorised processing attributable to Briana Global’s conduct, or any right that cannot lawfully be excluded.
6. Recipient information and payment-routing risk
You must take reasonable care to check the recipient’s name, account identifier, bank details, payment reference, country and any other information before authorising an instruction. Incorrect, incomplete or inconsistent details can cause a delay, rejection, return, delivery to an unintended account or difficulty recovering funds.
Do not assume that a recipient name will be checked or matched against an account identifier unless Briana Global expressly tells you that this will occur for the particular payment route. Banks and payment systems may route a payment using the account identifier or other technical details rather than the recipient name. A name displayed in a payment journey is not, by itself, confirmation that the intended person controls the destination account.
Your obligation to check information does not make you responsible for an error introduced by Briana Global or limit rights that cannot lawfully be excluded.
7. Scams, fraud and account takeover
Payments requested under pressure, secrecy or urgency may be scams. Fraudsters can impersonate businesses, government agencies, family members, financial institutions or Briana Global personnel. They may use false websites, altered bank details, compromised email accounts, social engineering, malware, SIM swaps or stolen credentials.
Protect your device, password, authentication codes and access to your email and phone. Independently verify new or changed payment details using a trusted contact method, especially for a first payment, an unusual request or a request involving an investment, trading, digital-asset or recovery opportunity. Do not rely only on contact details included in an unexpected message or payment request.
If you believe that an instruction is unauthorised, your account or device may be compromised, or you have been scammed, notify Briana Global as soon as possible at support@brianaglobal.com. State clearly that the matter is urgent and provide the transaction details available to you. You should also contact the provider through which you funded the payment, where relevant.
Prompt reporting can improve the prospect of intervention but does not guarantee that a payment can be stopped or recovered. Briana Global may ask for information to investigate and respond. This section does not transfer to you the risk of Briana Global’s own security, control or processing failure, and does not limit any non-excludable rights.
8. AML/CFT, sanctions and compliance reviews
A transaction may be subject to legal restrictions, compliance reviews or risk controls. Where permitted or required by anti-money laundering and countering financing of terrorism (AML/CFT) law, sanctions law, a court or regulatory direction, Briana Global’s risk controls, or a correspondent or intermediary’s requirements, we may request information or documents and may delay, refuse, cancel, return, freeze or otherwise restrict a transaction.
These steps may be taken even where you consider the transaction legitimate. A correspondent, intermediary, receiving institution or public authority may also make a decision that affects the transaction. The availability, timing and amount of a return or refund can depend on applicable law, the payment stage, currency conversion, third-party processes and any lawful charges or deductions.
We will provide information about a transaction’s status and any further information required where we can lawfully do so. We may be unable to provide detailed reasons for a decision or review. Nothing in this section requires Briana Global to disclose information where disclosure is prohibited or would be inappropriate under applicable law.
9. Correspondents, payment rails and third-party platforms
Some payments may depend on correspondent and intermediary banks, payment networks, payment partners, receiving institutions, foreign exchange counterparties and other third parties. Briana Global does not control their availability, operational processes, fees, insolvency outcomes, acceptance criteria, risk decisions or the actions of a recipient. Their involvement can result in delay, rejection, return, deduction, rerouting or failure to complete a payment.
Briana Global does not endorse, verify, supervise or guarantee a third-party platform, merchant, investment opportunity, trading service, digital-asset arrangement, product, withdrawal process or regulatory status merely because a payment is made to or received from it. A payment to a third party does not establish that the third party is legitimate or suitable for you.
These third-party risks do not exclude Briana Global’s responsibility for its own acts or omissions, including any responsibility it has for its own selection, management, security or processing of the Briana Global service, nor do they limit rights that cannot lawfully be excluded.
10. Currency controls and foreign legal restrictions
A destination country, currency, bank or public authority may impose capital controls, currency-convertibility restrictions, exchange-control requirements, taxes, reporting obligations, documentary requirements, payment-purpose restrictions or other legal or operational conditions. Requirements can change without notice.
These measures may affect the availability of a currency or route and may lead to requests for information, a delay, rejection, return, changed routing or a reduction in the amount received where a lawful deduction is applied. You are responsible for ensuring that your instruction and the purpose of the payment are lawful for you. Briana Global’s provision of a payment service is not advice or confirmation that a payment is lawful, permitted or accepted in every relevant jurisdiction.
11. Pending customer money, insolvency and the Depositor Compensation Scheme
Briana Global is not a registered bank and not a licensed deposit taker. It does not provide deposit accounts. Money provided for a pending conversion or remittance is not, merely because it is provided to or through Briana Global, a DCS-protected deposit with Briana Global.
The New Zealand Depositor Compensation Scheme (DCS) does not compensate a customer simply because Briana Global fails. Briana Global’s failure is not covered by the DCS. The DCS also does not cover money lost through a scam, fraud or hacking.
Depending on the payment method and the stage of a transaction, funds may be received, processed or held by Briana Global, an account used in connection with Briana Global’s services, or a third-party payment or banking provider. This Statement does not promise a particular trust, segregation, safeguarding, reconciliation, interest, set-off, priority, insolvency or return arrangement. The treatment of funds, including the position if Briana Global, an underlying institution or another participant fails, depends on the actual legal and operational arrangement, the applicable account and transaction terms, and the law at the relevant time.
If an underlying licensed deposit taker is involved, any DCS outcome in relation to the failure of that underlying institution depends on the actual legal arrangement, the nature of the account and the eligibility requirements in force at the relevant time. It is not guaranteed. You should not treat Briana Global’s FSPR registration, the use of a bank or payment provider, or this Statement as a representation that funds are protected by the DCS.
