Fees and FX Pricing Disclosure

1. Purpose and scope

This disclosure explains how pricing, foreign exchange rates, fees, third-party charges and recipient amounts may apply when you use Briana Global Limited (Briana Global, we, us or our) for a currency conversion or a money or value transfer. It forms part of the information we provide before you accept a quote and submit an Order. Please read it with our Terms and Conditions and the transaction-specific quote.

The quote is the transaction-specific screen, document or other record we give you before you submit an Order. It states the price and other information offered for that Order. Your affirmative acceptance of the quote and submission of the related instruction constitutes an Order. As provided in the Terms and Conditions, a binding transaction is formed only if Briana Global accepts that Order and issues a Transaction Confirmation. This disclosure explains our pricing approach; it is not itself an offer to exchange currency or send money at a particular rate.

We are not a broker. We do not offer contracts for difference, derivatives, securities, investment advice, lending or credit, deposit accounts, or cryptocurrency services.

2. Our pricing approach

For our core foreign exchange and remittance services, we do not charge a separate Briana Global transaction fee unless the quote expressly states a Briana Global fee. Where no separate Briana Global fee is stated, the quote will show that fee as zero.

Briana Global may earn revenue through the foreign exchange spread or margin incorporated in the Customer Rate. The spread or margin is part of the exchange rate offered to you; it is not an additional amount added after you accept the quote. A calculation comparing a Reference Market Rate with a Customer Rate is a pricing comparison. It does not necessarily represent Briana Global's net revenue or the costs of arranging the conversion or transfer.

A separate Briana Global fee may apply to a service only where the quote states its amount and currency before you authorise the transaction. The quote will also identify any known charge payable to a third party that is collected from you or deducted from the amount sent.

3. Key foreign exchange terms and margin calculation

Term

Meaning

Source Amount

The amount in the currency you provide for conversion or transfer, before any separately stated fee or charge payable by you.

Source Currency

The currency of the Source Amount.

Destination Currency

The currency to be converted, sent or made available to the recipient.

Reference Market Rate

A rate that Briana Global uses as a pricing benchmark for the relevant currency pair, transaction attributes and time. It is derived from exchange-rate information available to Briana Global when the quote is prepared. It is not necessarily a rate published by a central bank, an online rate provider or an “interbank” source, and it may not be a rate available to you or the recipient.

Customer Rate

The exchange rate offered to you in the quote. It is the rate used to calculate the converted amount if you accept the quote while it remains valid and its stated conditions are met.

FX spread or margin

The difference, if any, between the Reference Market Rate and the Customer Rate, calculated using the same currency-pair direction and relevant transaction attributes.

Gross Converted Amount

The Destination Currency amount calculated from the Source Amount at the Customer Rate, before any deduction from the transfer proceeds.

Briana Global Fee

A separate fee charged by Briana Global only if the quote expressly shows it.

Known Third-Party Charge

A charge which Briana Global knows at the time of the quote may be charged by, collected for or deducted by a payment, correspondent, intermediary or receiving institution.

For an exchange from source currency S into destination currency D, we state the exchange-rate convention in the quote as D per 1 S. Where the Source Amount is A, the Customer Rate is Rᶜ, and the comparable Reference Market Rate is Rʳ:

Gross Converted Amount (in D) = A × Rᶜ

FX Margin Amount (in D) = A × (Rʳ − Rᶜ)

FX Margin Percentage = (Rʳ − Rᶜ) ÷ Rʳ × 100

These calculations apply before rounding and only where a Reference Market Rate is shown for the same conversion direction and basis as the Customer Rate. A different exchange-rate convention requires an equivalent reciprocal calculation. If a quote does not show a comparable Reference Market Rate, it will not present a numerical comparison based on that rate.

The Reference Market Rate and Customer Rate can vary by currency pair, transaction amount, payment route, timing, market conditions and other transaction characteristics. The Customer Rate in a valid accepted quote, rather than any rate on a website, news service, rate calculator or other source, is the rate offered for that transaction.

4. What your quote will show before authorisation

Before asking you to accept a quote and submit an Order, we provide a quote that clearly states the following information, with the relevant currency for each amount:

Quote item

What it tells you

Source Amount

The amount you ask us to convert or send.

Reference Market Rate

The pricing benchmark used for a rate comparison, where one is shown, including the rate convention and the time to which it relates.

Customer Rate

The rate offered to you, stated as Destination Currency units per 1 Source Currency unit.

Quote expiry

The date and time by which you must accept the quote, and any stated conditions for the rate to apply.

Gross Converted Amount

The converted amount before any transfer-proceeds deductions.

Briana Global Fee

The exact Briana Global fee, including currency, or a clear zero amount where none applies.

Known Third-Party Charges

Any known third-party charge, its amount and currency, who bears it, and whether it is payable by you, collected by us, or deducted from the transfer proceeds.

Total Payable

The total amount payable to Briana Global at authorisation, including the Source Amount, any expressly stated Briana Global Fee and any known charge that is payable by you through Briana Global. The quote states the payment currency.

Recipient Amount

Whether the recipient amount is guaranteed or expected, the applicable amount or estimate, and any known deduction included in that result.

Where a known charge is deducted from transfer proceeds rather than paid by you separately, it does not increase the Total Payable. The quote will identify that treatment and show the effect on the Recipient Amount where it can be calculated.

An amount is described as guaranteed only if the quote expressly says it is guaranteed. Otherwise, an expected recipient amount is an estimate and is not guaranteed. Where charges are not known at the time of the quote, the quote will state that the recipient may receive less than the Gross Converted Amount or the expected amount, as applicable.

5. Intermediary, correspondent and receiving-institution deductions

A payment may pass through one or more payment providers, correspondent institutions, intermediaries or receiving institutions. A charge may be imposed or deducted after we have sent the payment. Some of these charges may not be known to Briana Global when you authorise the transaction.

Where a third-party charge is known when the quote is prepared, we show it in the quote as described in section 4. Where a charge or deduction is unknown, we cannot include it in the Total Payable or calculate a final recipient amount from it. The quote will clearly identify the relevant recipient amount as expected or not guaranteed, rather than presenting it as a guaranteed final amount.

Third-party charges may affect international transfers and may also apply to a particular domestic route. Their amount, timing and treatment can differ by route and institution. A warning about an unknown deduction does not change Briana Global's responsibility to provide the information we know before you authorise the transaction.

6. Domestic same-currency transfers

A domestic same-currency transfer is a transfer that we identify in the quote as being made through a domestic payment route and without a currency conversion. No foreign exchange rate or FX margin applies to that transfer.

The quote for a domestic same-currency transfer states the amount to be sent, any Briana Global Fee, any known third-party charge, the Total Payable and the recipient-amount status. A domestic same-currency transfer does not mean that all third-party charges, return costs or receiving-institution deductions are necessarily known or that a recipient amount is guaranteed. The quote states the position for the route selected.

7. Quote expiry, acceptance and a new quote

A quote is available only until the expiry date and time displayed in it. You must review and affirmatively accept the quote before it expires and submit the related Order. Quote acceptance and Order submission do not by themselves form a binding transaction. A binding transaction is formed only if Briana Global accepts the Order and issues a Transaction Confirmation under the Terms and Conditions. We will provide the Transaction Confirmation electronically and retain the accepted quote and Order record.

A quote may state conditions that must be met for the Customer Rate to apply, such as receipt of the required funds or completion of information needed to process the transaction. If a quote expires, or the transaction cannot proceed on the terms of the accepted quote, we will not complete it at a changed exchange rate or with changed stated charges unless you are given a new or revised quote and affirmatively accept it.

If you do not accept a new or revised quote, the transaction will not proceed on those changed terms. We will explain the available cancellation, return or refund options and any applicable disclosed costs. This does not limit action that we may be required to take under applicable law, including AML/CFT obligations.

8. Cancellation, recall, return and refund costs

You may ask us to cancel a transaction or, if it has already been sent, to attempt a recall. A cancellation or recall may not be possible, particularly once a payment has entered a payment system or been credited to a recipient. A recall request is not a guarantee that funds will be recovered.

A cancellation, recall, failed payment or returned transfer can involve a Briana Global Fee only where we state it, and can involve charges from payment providers, correspondents, intermediaries or receiving institutions. A charge may be known only after a return or recall has been processed. Before you ask us to take an action that may cause a known charge, we will tell you the charge or the basis on which it will be calculated where that information is available. We will tell you how a charge is to be paid or deducted.

A returned amount may be lower than the original Source Amount because of a currency conversion, exchange-rate movement, third-party deductions, payment-system charges or the amount actually returned. If we need to convert a returned amount before refunding it, we will give you the relevant new exchange-rate quote and require your affirmative acceptance before using that new rate. If you do not accept it, we will explain the available alternatives, where available, and the effect on the refund.

We will provide a record that explains the refund or return calculation, including amounts received back by us, any Briana Global Fee charged, known third-party charges and any conversion used. Nothing in this section excludes or restricts a right or remedy you may have under New Zealand law.

9. Rounding and calculation order

We calculate a conversion using the Customer Rate recorded in the quote and then round monetary amounts to the applicable minor unit of the relevant currency. A currency with no minor unit is rounded to a whole unit. We may display an exchange rate to a stated number of decimal places. If the rate is displayed in rounded form, the quote will identify that it is rounded and will state the Gross Converted Amount used for the transaction.

The quote states the final amounts that you pay and, where known or estimated, the amount to be made available to the recipient. If a difference arises solely from a stated rounding rule, the final monetary amount shown in the quote applies.

10. Pricing changes and version history

We may change our pricing methodology, the availability of payment routes or any fee that may apply to future transactions. A new price, fee or methodology applies prospectively and will be reflected in an updated version of this disclosure and in the quote for a new transaction.

A change to this disclosure does not change the Customer Rate, Briana Global Fee, Total Payable or recipient-amount status in a valid accepted quote. If we make a material ongoing pricing change, we will make the updated disclosure available on our website and give advance notice through an appropriate communication channel where reasonably practicable. We may make a change sooner where this is necessary to comply with law or to address fraud, security or operational risk.

We keep a dated version history of this disclosure. You may request the version that applied to your transaction by contacting support@brianaglobal.com.

11. Records, questions and complaints

We create a record of the quote, the information you accept, the transaction confirmation and relevant cancellation, return or refund information. We retain and disclose records as required by applicable law. You should keep your quote and confirmation for your own records.
